1. Introduction

Welcome to AidLink. These Terms of Service (“ToS”) govern your use of the AidLink application, websites, services, and associated content (collectively, the “Service”) provided by AidLink, LLC (“Company”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these ToS and our Privacy Policy. If you do not agree to these ToS, you may not access or use the Service.

The Service is designed to provide location-based information relevant to emergency services operations and is intended for use by emergency services personnel and the general public for informational purposes only.

2. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by these ToS. If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these ToS and agree to be bound by these ToS on behalf of that organization.

We reserve the right to modify these ToS at any time. Your continued use of the Service after such modification constitutes your acceptance of the modified ToS.

3. User Registration and Account Security

  1. Account Creation: To access certain features of the Service, you may be required to create an account. When creating your account, you agree to provide accurate, current, and complete information as prompted by our registration forms and to update such information to keep it accurate, current, and complete.

  2. Account Security: You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

  3. Eligibility: Use of the Service is not available to individuals under the age of 13. By using the Service, you represent and warrant that you are at least 13 years of age.

  4. Account Restrictions: We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

4. Content and Use Restrictions

  1. Prohibited Uses: You agree not to use the Service:

    1. In any way that violates any applicable national, federal, state, local, or international law or regulation.

    2. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.

    3. To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.

    4. To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.

    5. In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

    6. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm the Company or users of the Service or expose them to liability.

  2. Content Standards: These content standards apply to any and all User Contributions and use of the Service. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

    1. Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.

    2. Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

    3. Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these ToS and our Privacy Policy.

This section of the ToS sets the foundation for acceptable use of the Service, emphasizing the importance of responsible and legal use by all users. The subsequent sections will continue to outline the obligations of users, intellectual property rights, disclaimers, limitations of liability, and other essential terms governing the use of the Service.

5. Privacy Policy

Your privacy is critically important to us. Our Privacy Policy, which is incorporated into these Terms of Service by reference, outlines how we collect, use, and protect your personal information in connection with your use of the Service. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

6. Intellectual Property Rights

  1. Service Content, Software, and Trademarks: You acknowledge and agree that the Service and all materials therein, including, but not limited to, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, and domain names (collectively, the “Content”) are the property of the Company or its licensors and are protected by copyright and other intellectual property laws. Except as expressly authorized by the Company, you agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Service or the Content, in whole or in part.

  2. User Contributions: The Service may allow you to post, upload, publish, submit, or transmit content, including but not limited to text, photographs, videos, or other materials (collectively, “User Contributions”). By making any User Contributions on or through the Service, you grant the Company a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such User Contributions in connection with the Service and the Company’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.

  3. Feedback: You acknowledge and agree that any feedback, comments, or suggestions you may provide regarding the Service is entirely voluntary and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you.

7. Disclaimers and Limitations of Liability

  1. Disclaimers: THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE COMPANY AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF THE SERVICE, AND YOU RELY ON THE SERVICE AT YOUR OWN RISK. ANY MATERIAL OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE THAT RESULTS FROM THE USE OF ANY SUCH MATERIAL.

  2. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, LICENSORS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.

8. User Conduct

You agree not to engage in any of the following prohibited activities: copying, distributing, or disclosing any part of the Service in any medium, including without limitation by any automated or non-automated “scraping”; using any automated system, including without limitation “robots,” “spiders,” “offline readers,” etc., to access the Service in a manner that sends more request messages to the Company servers than a human can reasonably produce in the same period of time by using a conventional on-line web browser (except that the Company grants the operators of public search engines revocable permission to use spiders to copy materials from the site for the sole purpose of, and solely to the extent necessary for, creating publicly available searchable indices of the materials, but not caches or archives of such materials); transmitting spam, chain letters, or other unsolicited email; attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service; taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure; uploading invalid data, viruses, worms, or other software agents through the Service; collecting or harvesting any personally identifiable information, including account names, from the Service; using the Service for any commercial solicitation purposes; impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding, or attempting to hide your identity; interfering with the proper working of the Service; accessing any content on the Service through any technology or means other than those provided or authorized by the Service; or bypassing the measures we may use to prevent or restrict access to the Service, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Service or the content therein.

9. Modification and Termination of Services

  1. Modification of Services: The Company reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that the Company shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

  2. Termination: The Company may terminate or suspend your access to all or part of the Service at any time, with or without cause, with or without notice, effective immediately, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Emergency Services Disclaimer

You acknowledge and agree that the Service is not intended to be relied upon in situations where failure or time-delay of the delivery of data or services provided through the Service could lead to death, personal injury, or severe physical or environmental damage. The Company expressly disclaims all responsibility and liability for any such reliance on the Service. You are advised to use traditional methods of emergency reporting and to contact your local emergency services or public safety answering point (PSAP) directly in the event of an emergency.

11. Governing Law and Dispute Resolution

  1. Governing Law: These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

  2. Dispute Resolution: Any disputes arising out of or in connection with these Terms shall be resolved through final and binding arbitration under the rules of arbitration of the American Arbitration Association applying the law of the jurisdiction mentioned above. The arbitration shall take place in the jurisdiction where the Company is registered, and the decision of the arbitrator(s) shall be final and binding on both parties.

Your continued use of the Service after any such updates take effect will constitute acknowledgment and (as applicable) acceptance of those changes.
